01Acceptance of these terms

By accessing or using the Service, or by clicking to accept these terms, you agree to be bound by them. If you are entering into these terms on behalf of a company or other organization (a "Customer"), you represent that you have authority to bind that organization, and "you" refers to that organization.

If you do not agree to these terms, you may not access or use the Service. Where you and Wispero have signed a separate written agreement (for example, an enterprise order form or master services agreement), that agreement controls to the extent it conflicts with these terms.

02The Service

Wispero listens to live sales conversations, transcribes them, and delivers short, in-the-moment coaching prompts to a sales representative — along with analytics and compliance tooling for managers. The Service is provided as software-as-a-service and may evolve over time as we add, change, or remove features.

We may set technical and usage limits (such as the number of seats, locations, or minutes of audio processed) according to your plan. We do not guarantee uninterrupted or error-free operation, and we may perform maintenance that temporarily limits availability.

03Accounts & eligibility

To use most features you must create an account or be provisioned a seat by your organization. You agree to provide accurate information, keep it current, and keep your credentials confidential. You are responsible for all activity that occurs under your account.

The Service is intended for business use by people who are at least 18 years old. It is not directed to consumers or to children, and you may not use it for personal, family, or household purposes.

04Voice capture & consent

The Service processes audio from live conversations. Recording, transcription, and monitoring of conversations are subject to federal and state laws in the United States — including one-party and all-party (two-party) consent rules that vary by state.

You are solely responsible for determining what notice and consent are required in the jurisdictions where you operate, and for obtaining that consent from representatives, customers, and any other participants before conversations are captured. You agree to configure and use the Service in compliance with all applicable recording, wiretapping, and privacy laws.

05AI prompts & no warranty of outcomes

Wispero uses automated speech recognition and machine-learning models to generate prompts and analytics. These outputs are suggestions, not instructions or professional advice. They can be incomplete, inaccurate, or inappropriate for a given situation, and they may misinterpret speech, intent, or context.

The representative remains fully responsible for what they say to customers and for every decision they make during a conversation. You must not rely on Wispero prompts as the sole basis for any statement that has legal, financial, medical, safety, or compliance consequences.

06Acceptable use

You agree not to, and not to permit anyone to:

• Use the Service in violation of any law, regulation, or third-party right, including recording, privacy, consumer-protection, and anti-discrimination laws;
• Capture conversations without the notice and consent required where you operate;
• Use the Service to deceive, harass, defraud, or unlawfully surveil any person;
• Reverse engineer, decompile, or attempt to extract source code or underlying models, except where this restriction is prohibited by law;
• Resell, sublicense, or provide the Service to third parties except as expressly permitted;
• Interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to it;
• Use the Service to build a competing product or to train competing models.

07Customer data & content

"Customer Data" means the audio, transcripts, configurations, and other content you and your users submit to or generate through the Service. As between you and Wispero, you own your Customer Data. You grant us a worldwide, non-exclusive license to host, process, and use Customer Data solely to provide, secure, and improve the Service, and as otherwise described in our Privacy Policy.

You represent that you have all rights and permissions necessary to provide Customer Data to us and to allow the processing described in these terms. You are responsible for the accuracy, quality, and legality of Customer Data and the means by which you acquired it.

08Fees, plans & billing

Paid features are billed according to the plan or order form you select. Unless stated otherwise, fees are quoted in U.S. dollars, are billed in advance, and are non-refundable except where required by law. Subscriptions renew automatically for successive terms unless cancelled before the renewal date.

We may change pricing for a future term with reasonable notice. You are responsible for applicable taxes other than taxes on our net income. Late or failed payments may result in suspension of the Service after notice.

09Intellectual property

The Service, including its software, models, designs, and trademarks, is owned by Wispero and its licensors and is protected by intellectual-property laws. Subject to these terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription. We reserve all rights not expressly granted.

If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction or obligation to you.

10Third-party services

The Service may interoperate with third-party products, such as cloud infrastructure, telephony, or speech-processing providers. We are not responsible for third-party services, and your use of them is governed by their own terms. We may use third-party subprocessors as described in our Privacy Policy.

11Disclaimers

EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE OR RELIABLE.

12Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WISPERO AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

13Indemnification

You agree to defend, indemnify, and hold harmless Wispero and its affiliates from any claims, damages, and expenses (including reasonable legal fees) arising out of your Customer Data, your use of the Service, your violation of these terms, or your failure to obtain required recording consents or other approvals.

14Term & termination

These terms apply for as long as you use the Service. You may stop using the Service at any time. We may suspend or terminate your access if you breach these terms, fail to pay, or use the Service in a way that creates risk or legal exposure for us or others.

On termination, your right to use the Service ends. We will make Customer Data available for export for a limited period as described in our documentation, after which we may delete it in the ordinary course. Sections that by their nature should survive termination will survive.

15Governing law & disputes

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Subject to any signed agreement between us, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes, and you consent to their jurisdiction and venue.

Nothing in these terms limits either party's right to seek injunctive relief to protect its intellectual property or confidential information.

16Changes to these terms

We may update these terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting the updated terms with a new "Last updated" date or by notifying you through the Service. Your continued use after changes take effect constitutes acceptance of the updated terms.
